CR SWCS Shanghai Seminar | Interpreting New Governance Requirements and Enhancing Board Effectiveness

On 22–24 July, CR SWCS, in collaboration with The Hong Kong Chartered Governance Institute (HKCGI), jointly hosted the 90th Governance Professionals Enhanced Continuing Professional Development Programme in Shanghai. The event attracted more than 100 senior executives, board secretaries, and corporate governance professionals from Hong Kong-listed companies to explore the latest developments and emerging trends in corporate governance.

 

During the programme, Mr. Thomas Chung, Senior Director of Listed Company Secretariat Services at CR SWCS, delivered a keynote presentation entitled “Optimising Board Governance to Drive Sustainable Development for Listed Companies.” Drawing on both regulatory insights and practical experience, he provided an in-depth analysis of the latest corporate governance requirements introduced by the Hong Kong Stock Exchange and shared best practices for improving board effectiveness.

 

Mr. Chung highlighted that corporate governance is evolving from a compliance-driven approach to an effectiveness-driven model. Beyond formulating strategy and overseeing risk, boards are increasingly expected to integrate ESG considerations, climate-related risks, data security, and supply chain management into long-term corporate planning. Today's boards play a critical role in providing strategic direction, overseeing risk management, driving sustainable development, and strengthening investor confidence.

 

He also noted that the new governance requirements stipulate that board performance evaluations should be conducted at least once every two years. To support continuous improvement, organisations are encouraged to adopt a combination of board questionnaires, director interviews, skills matrix assessments, and independent third-party evaluations to enhance board effectiveness and governance quality.
